1. General Terms
These Terms of Trade govern all commercial transactions between Weihai Yuanchuang Import & Export Co., Ltd. ("Entrol") and its customers ("Buyer"). By placing an order with Entrol, you agree to be bound by these Terms.
2. Orders and MOQ
Minimum order quantities vary by product and are specified in quotations. Orders are only confirmed upon receipt of a signed purchase order and applicable deposit payment.
3. Pricing and Payment
- Prices are quoted in USD unless otherwise agreed in writing.
- Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment.
- We accept T/T (Telegraphic Transfer) and other payment methods as agreed.
4. Lead Time and Delivery
Lead times commence from receipt of deposit and confirmed artwork. Standard lead time is 30-45 business days. Delays caused by the Buyer (e.g., delayed artwork, payment delays) will extend lead times accordingly.
5. Quality Control
Entrol implements strict quality control procedures. Pre-shipment inspection is available and recommended. Quality issues must be reported within 7 days of receipt with photographic evidence.
6. Intellectual Property
Custom designs, logos, and artwork provided by the Buyer shall not be used by Entrol for any purpose other than fulfilling the Buyer's order.
7. Sample Policy
Samples are available for quality evaluation. Sample fees are typically refundable against bulk orders. Sample lead time is 7-15 business days. Shipping costs are borne by the Buyer.
8. Warranty and Liability
Entrol warrants that products conform to agreed specifications at the time of shipment. Our liability is limited to replacement of defective products or refund of the purchase price. Entrol shall not be liable for indirect, consequential, or incidental damages.
9. Shipping and Risk
Risk in goods passes to the Buyer upon delivery to the carrier at the port of shipment (FOB, CIF, or EXW as agreed).
10. Force Majeure
Entrol shall not be liable for delays caused by circumstances beyond its reasonable control, including natural disasters, war, strikes, supply chain disruptions, or public health emergencies.
11. Governing Law
These Terms shall be governed by the laws of the People's Republic of China. Disputes shall be resolved through friendly negotiation; if unresolved, submitted to the jurisdiction of the courts of Weihai, Shandong, China.
